PROCOS S.P.A. is a wholly owned subsidiary of the Japanese company, CBC Co. Ltd Group, specializing in the development, scale-up and production of Active Pharmaceutical Ingredients (APIs), advanced intermediates and related services for the pharmaceutical industry.
Our core business sectors include Custom Synthesis and Generic API manufacturing.
The manufacturing site is located in Cameri, Italy. This 135,000 sq. meter, cutting-edge multipurpose plant, fully designed under cGMP compliance, has been successfully audited and approved by the main regulatory authorities including AIFA, FDA and PMDA.
To ensure our constant growth in an increasingly competitive market, PROCOS strives to pursue innovation, while keeping our core identity, by constantly investing in our company and in our people.

PROCOS has a Code of Ethics, which incorporate and formalize the principles and ethical-social values that the Company and all recipients are required to adhere to.
The Code of Ethics is an integral part of the Organization, Management and Control Model according to the Italian Legislative Decree. N. 231/2001. Together they form a corpus of internal rules aimed at spreading a culture based on the ethics and corporate transparency.
The company has also appointed an internal independent supervisory body ‘Organismo di Vigilanza’ (odv@procos.it), to control the risks related to any specific activities.
PROCOS is strongly committed to safeguarding the environment, ensuring compliance with safety standards and prevention of Major Hazards Accident. This commitment is set out by the Policy for Health, Safety and Environment Prevention and Control of Major Accident Hazards.

PROCOS S.p.A – THE WHISTLEBLOWING SYSTEM
Legislative Decree No. 24 of March 10, 2023 (hereinafter also only the “Decree”) transposes in Italy Directive (EU) 2019/1937 of the European Parliament and of the Council of October 23, 2019, concerning “the protection of persons who report breaches of Union law” (so-called whistleblowing discipline).
In accordance with the aforementioned Decree, PROCOS S.p.A. is committed to incentivize and protect, whoever, within the work context, becoming aware of an offence and/or irregularity, relevant for the purposes of Legislative Decree 231/2001 and/or EU regulations specifically provided for in Legislative Decree 24/2023, decides to report it (so-called “Whistleblower”).
What channels should be used to report?
All Whistleblowers can address their reports through:
Inside Channel:

- By requesting a face-to-face meeting with the Reporting Manager.
Outside Channel:
Channel made available by National Anti-Corruption Authority (ANAC): https://www.anticorruzione.it/-/whistleblowing by clicking “access the service“, to be used in the cases strictly specified in Article 6 of Decree 24/2023.
What can you report?
Reports may be on the following topics:
- offenses that fall within the scope of application of European Union or national acts;
- conduct and/or practices not in line with the provisions of the Model adopted by the Company, as well as guidelines, procedures and regulations;
- unlawful conduct relevant under the alleged crimes contained within Legislative Decree 231/2001 based on precise and concordant elements of fact.
Excluded from the scope are reports related to a personal interest of the Whistleblower, which pertain to his or her individual labor relations, or inherent in labor relations with hierarchically subordinate figures (e.g., labor disputes, discrimination, interpersonal conflicts between colleagues, reports on data processing carried out in the context of the individual labor relationship in the absence of an injury to the public interest or integrity of the private entity or public administration).
Who can report?
All persons working in the work environment of the Company are eligible to make a report, as:
- Persons having the status of worker;
- Persons having self-employed status, as well as holders of an employment relationship who work for the Company;
- Workers or collaborators, who work for the Company providing goods or services;
- Volunteers and paid or unpaid trainees;
- Freelancers and consultants working for the Company;
- Shareholders and persons belonging to the administrative, management or supervisory body of an undertaking, including non-executive members.
How are reports handled?
The Supervisory Board ex Legislative Decree 231/2001 has been appointed by the Company to handle Reports.
Within seven days of the report, the Whistleblower will be notified that the Report has been received.
An internal investigation will then be opened to ascertain the facts that are the subject of the report. It is therefore advisable for it to be as circumstantial as possible and to offer as much information as possible in order to enable the appropriate bodies to carry out the necessary checks.
Consistent with the confidentiality requirements of internal investigations and their outcome, PROCOS will provide feedback to the report within three months from the date of the acknowledgement of receipt.
